1. ELIGIBILITY:

Contest is open to all legal residents of Canada who have reached the age of majority in their province or territory of residence at the time of entry and who (at the time of entry): (i) hold a valid driver’s license (equivalent to a “G” class license in Ontario); and (ii) are insurable; except employees or agents (and those with whom they are domiciled) of LEXUS CANADA, a division of TOYOTA CANADA INC. (the “Sponsor”), its dealers, advertising and promotion agencies and the Contest judges (collectively, the “Contest Parties”).

No purchase necessary. Contest begins on June 1st, 2010 at 12:00 AM Eastern Time (ET) and ends on September 30, 2010 at 11:59 PM ET (the “Contest Period”).

To enter the contest, you must book and complete a test drive in a new Lexus at a Canadian Lexus dealership prior to the end of the Contest Period. To book a test drive, go to www.lexus.ca/is and follow the on-screen instructions. A representative from your chosen dealership will contact you and schedule a date for the test drive. At the dealership, you will receive a registration form for the contest. You must fully complete the registration form, which requires you to enter your: first name; last name; age; complete mailing address (including postal code) and for ease of communication, valid email address.. To be valid, your registration must be successfully completed during the Contest Period. There is a limit of one (1) registration per person permitted during the Contest Period. If it is discovered that you attempted to register more than one (1) time per person during the Contest Period, then you will be disqualified and will not be eligible to win a prize. Your registration will be rejected if the registration form is not fully completed and submitted during the Contest Period. The Contest Parties are not responsible for late, lost, misdirected, delayed, incomplete or incompatible registrations.

To take your test drive, visit your local Lexus dealership during the Contest Period after you have scheduled a visit with a Lexus representative. Once you have completed the test-drive and the contest registration form, a Lexus dealership representative will enter your registration form into the Sponsor’s secure system and you will receive one (1) entry in the random prize draw (see Rule 6 below).

There will be one (1) Prize available to be won consisting of a trip for two (2) to Tofino, British Columbia for five days/four nights stay at the Wickaninnish Inn that must be booked with all travel and stay completed on or before September 30, 2011. Blackout dates for the trip are January 2-13, 2011 inclusive when the Wickaninnish Inn is closed. The Prize includes: round trip airfare (economy class) for the winner and his/her travel companion(s) to Tofino B.C. from the Canadian international gateway airport nearest the winner's residence; accommodation for two (2) (double occupancy) for five days/four nights at the Wickaninnish Hotel including full breakfast and 3 course dinner also provided during the 4 nights stay (alcohol not included).; and a half day boat tour for two on the Browning Passage, a three hour private surf lesson at Surf Sister, a 2 hour art tour and discussion with resident artists at the Inn’s on site “Carving Shed,”. Approximate retail prize value is $6,832 based on a Halifax, Nova Scotia, a departure example, although the actual retail value may vary depending on the point of departure (the “Prize”).

Without limiting the generality of the foregoing, the following general conditions apply to the Prize: (i) Prize must be accepted as awarded and is not transferable or convertible to cash (no substitutions except at Sponsor’s option); (ii) all travel related to the Prize must occur on or before the date specified above (otherwise the Prize will be forfeited in its entireity) and the winner and his/her travel companion must: (a) travel on same itinerary and (b) have all necessary documentation to permit international travel to Canada if arriving in Canada from outside of Canada and not have any barriers to entry to Canada and; (iii) No frequent flyer miles will be awarded the costs of everything not specifically stated above as included in the Prize are the responsibility of the winner and his/her and travel companion, including, without limitation: meals; gratuities; health and travel insurance; transportation to and from the Canadian international gateway airport nearest the winner's residence; and items of a personal nature; (iv) if the winner and/or his/her travel companion does not utilize any part(s) of the Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (v) Sponsor reserves the right, in its sole discretion, at any time to: (a) place reasonable restrictions on the availability or use of the Prize or any component thereof; and/or (b) substitute the Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including without limitation, but solely at the Sponsor’s sole discretion, a cash award; (vi) all travel arrangements relating to the Prize must be made through the Sponsor or its designated agents; (vii) once made, travel arrangements are final and cannot be changed. If a Grand Prize winner or their travel companion is unable to participate in the trip after the Grand Prize has been booked, the Grand Prize will be forfeited in its entirety. (viii) by accepting the Prize, the winner agrees to waive all recourse against the Releasees (defined below) if the Prize or a component thereof does not prove satisfactory, either in whole or in part; and (ix) the winner’s travel companion(s) must sign and return the Sponsor’s release (by the date indicated on the release form) indicating that they waive all recourse against the Releasees (defined below) relating to their participation in the Prize (including, without limitation, any travel related thereto). The winner’s travel companion must be over the age of majority in his/her province/territory of residence. The Prize will only be awarded to the entrant whose full name and valid address appears on the registration form.

On October 19, 2010 (the “Draw Date”) in Toronto, ON at approximately 10:00 AM ET, one (1) eligible entrant will be selected by random draw from among all eligible entries received during the Contest Period. The odds of winning depend on the number of eligible entries received during the Contest Period. A representative of the Sponsor will attempt to contact the selected entrant by phone or email within ten (10) business days of the Draw Date. If the selected entrant cannot be contacted during this time or there is a return of any prior notification as undeliverable, then the selected entrant will be disqualified and the Sponsor reserves the right, in its sole discretion, to randomly select an alternate entrant from among the remaining eligible entries.

Before being declared the winner, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question; and (b) sign and return within ten (10) business days of notification the Sponsor’s declaration and release form, which, among other things: (i) confirms compliance with these Rules and acceptance of the Prize as awarded; (ii) agrees to release the Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Releasees”) against any and all claims, damages, liabilities, costs, and expenses arising from any liability in connection with this Contest, the selected entrant’s participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iii) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the Internet. If the selected entrant: (i) fails to correctly answer the skill-testing question; or (ii) fails to return the properly executed Contest documents within the specified time; then she/she will be disqualified and will forfeit his/her opportunity to be the winner (and to receive the Prize) and the Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining eligible entries.

All entries become the property of the Sponsor, which assumes no responsibility for lost, delayed, incomplete or misdirected entries/registrations. This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including all decisions regarding the eligibility and/or disqualification of entries.

The Sponsor reserves the right, subject to the approval of the Régie des alcools, des courses et des jeux (“Régie”), to withdraw or amend this Contest (or amend these Contest Rules) in any way, in the event of an error, technical problem, tampering, unauthorized intervention, fraud, or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Contest Rules. Any attempt to deliberately undermine the legitimate operation of this Contest is a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

The Releasees will not be liable for any failure of a website during the Contest; for any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; for the failure of any entry to be received by the Contest Parties for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website; or any combination of the above. Further, the Releasees will not be liable for any injury or damage to an entrant’s or any other person’s computer related to or resulting from participating or downloading any material in the Contest.

In the event of a dispute regarding who submitted a registration/entry, registrations/entries will be deemed to have been submitted by the authorized account holder of the email address submitted at the time of registration. “Authorized account holder” is defined as the person who is assigned an email address by an internet provider, online service provider, or other organization (e.g. business, educational institute, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. A selected entrant may be required to provide proof that he/she is the authorized account holder of the email address associated with the selected entry. The sole determinant of the time for the purposes of a valid registration/entry in this Contest will be the Contest server machine(s).

The Sponsor, with the consent of the Régie, reserves the right to cancel or suspend this Contest, or to amend these Contest Rules without prior notice or obligation, in the event of any accident, printing, administrative, or other error or any kind.

For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of the prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.

By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry for the purpose of (i) administering the Contest and (ii) for the purpose of future Lexus marketing in accordance with Sponsor’s privacy policy (available at: www.lexus.ca).

All intellectual property, including, without limitation, all trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned or licensed by the Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contestrelated materials, including, but not limited to, the Contest registration form, French version of these Rules, or point of sale, television, print or online advertising, the terms and conditions of these Rules shall prevail, govern and control.
